This company was organized in September, 1861 for one year, as Captain DuBose's Company, Georgia Volunteers. Upon the organization of the 2nd Battalion North Carolina Infantry in November 1861, it was assigned to that battalion as Company E. In May 1862, the company was reorganized and was transferred to the 60th Regiment Georgia Infantry by S. O. Number 84, A. & I. G. O, dated April 11, 1864, and became (New) Company A, of that regiment.

All Muster Rolls of this company prior to April 11, 1864, bear the caption "Company E, 2nd Battalion North Carolina Infantry."
