"Whereas A difference of opinion has for a long time existed between the Agent of the Company [Adams] and the Board of Directors in reference to the management of the Company's interests in New York rendering it impossible to continue the connection it is hereby Resolved That the Agent be requested to resign his Office and that the Treasurer be a committee to make known to him the wishes of the Board and if his resignation be tendered, to accept the same and settle with him all matters pertaining to the Company's interest.
